These Terms of Service (“Terms”) are a legally binding agreement between you and American Money, Inc. (“American Money,” “AMI,” “we,” “us,” or “our”).
These Terms govern your access to and use of websites, landing pages, sales funnels, forms, videos, checkout pages, digital content, and other online services operated by or on behalf of American Money that link to these Terms (collectively, the “Services”).
The Services currently include:
These Terms also apply to other websites or online services that we may operate in the future if they link to these Terms.
American Money, Inc. is the primary operator of the Services and the provider of the AMI products described through the Services.
During a temporary transition period, Michael Hearne Live, LLC (“MHL”) may process or facilitate certain payments, transactions, communications, customer-service functions, or administrative activities on behalf of American Money. As a result, MHL may appear on a checkout page, receipt, billing descriptor, payment record, or other transaction-related communication.
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, SUBMITTING A FORM, OR MAKING A PURCHASE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES OR MAKE A PURCHASE.
We believe people deserve to understand the rules of the systems they enter. These Terms explain the rules governing your use of the Services and your current relationship with American Money.
The Services are intended for adults who are at least 18 years old.
By using the Services, you represent that:
If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
The Services currently provide information about American Money, its mission, its planned business and technology ecosystem, and certain products available for pre-sale.
The current Services may include:
The Services do not currently provide the future investment, securities, fund, Deal Club, tokenized asset, digital asset exchange, brokerage, investment advisory, custody, or other regulated financial services that may be described in AMI materials.
Any such future service, if launched, may be subject to separate eligibility requirements, agreements, disclosures, offering documents, regulatory requirements, and terms.
American Money currently offers or may offer certain products for pre-sale through the Services.
Current pre-sale offers may include:
A pre-sale purchase of future access to the planned American Money docuseries.
The current advertised pre-sale price is $19, subject to change before purchase.
A pre-sale bundle that includes future access to the planned American Money docuseries and the additional educational resources, materials, or bonuses described on the applicable offer page at the time of purchase.
The current advertised pre-sale price is $197, subject to change before purchase.
A pre-sale purchase of Founder Access to the planned American Dealmaker Masterclass and the additional materials or features described on the applicable offer page at the time of purchase.
The current advertised pre-sale price is $497, subject to change before purchase.
The planned Masterclass may include live instruction, recordings, transcripts, notes, educational resources, and a planned AI-powered educational tool currently referred to as the AI Deal Mentor.
The final format, schedule, content, technology, instructors, features, delivery method, and availability of individual components may change during development.
We may introduce additional products or pre-sale offers through the Services.
Unless separate terms are presented for a particular offer, these Terms will apply to the purchase.
If separate product-specific terms are presented, those terms will supplement these Terms and will control with respect to the specific product if there is a direct conflict.
THE PRODUCTS OFFERED FOR PRE-SALE ARE NOT YET COMPLETE AND ARE NOT AVAILABLE FOR IMMEDIATE DELIVERY.
By making a pre-sale purchase, you acknowledge and agree that:
American Money intends to develop and deliver the products it offers for pre-sale. However, we cannot guarantee an exact delivery date.
The timing of production and delivery may depend significantly on the amount and timing of funds raised through pre-sales and other sources.
You understand and agree that money received from pre-sale purchases may be used before the purchased product is completed or delivered.
Pre-sale funds may be used for purposes including:
Your payment is not held in escrow unless we expressly state otherwise in writing.
Your payment does not remain segregated or reserved solely for the future cost of delivering your individual purchase.
As a result, money paid for a pre-sale product may be spent before the product is delivered.
American Money intends to complete and deliver the products offered through the pre-sale.
However, early-stage projects and businesses involve real risks.
Development or delivery may be delayed by circumstances including:
In an extreme case, American Money may be unable to raise sufficient funds, may experience severe financial distress, may cease operations, or may become subject to bankruptcy or insolvency proceedings.
If that occurs:
BY PURCHASING A PRE-SALE PRODUCT, YOU ACKNOWLEDGE AND ACCEPT THIS RISK.
Nothing in this section limits any right or remedy that cannot legally be waived under applicable law.
Products under development change.
We may modify a planned product if we reasonably believe the change is necessary or appropriate because of:
The final product may differ from early descriptions, mockups, roadmaps, presentations, demonstrations, or marketing materials.
We may make reasonable changes to:
If a specific feature becomes impractical or unavailable, we may replace it with a reasonably comparable feature, benefit, or experience where appropriate.
We will not intentionally use this section to deprive customers of the fundamental product they purchased.
Any date, schedule, roadmap, production estimate, funding milestone, or launch timeline stated through the Services is an estimate unless we expressly identify it as a binding commitment in a separate written agreement.
Statements about delivery occurring within a particular period after funding, production, or another milestone are planning targets.
The timing of a milestone may itself be uncertain.
A delay does not automatically entitle you to damages, penalties, or compensation, except where required by applicable law.
Because pre-sale funds may be used to develop the purchased products and support the infrastructure and operations necessary to deliver them, we do not guarantee that every refund request can be granted.
However, we want customers to feel good about supporting the mission.
If you request a refund before the applicable product is delivered, we will review the request in good faith and make reasonable efforts to accommodate it based on the circumstances.
Factors we may consider include:
Approval of one refund does not require us to approve another refund under different circumstances.
To request a refund, contact:
Please include enough information for us to locate the transaction.
Refunds, when approved, may be returned to the original payment method or through another reasonable method.
Nothing in this section limits any non-waivable refund, cancellation, chargeback, or consumer-protection right you may have under applicable law.
You agree to pay the price displayed at the time you make a purchase.
Prices may change at any time before purchase.
By submitting payment information, you represent that:
Payments may be processed by third-party payment processors.
During a temporary transition period, certain AMI transactions may be processed or facilitated by MHL while American Money establishes its own banking and payment infrastructure.
As a result:
This payment-processing arrangement does not change the nature of the AMI product you purchased.
You are responsible for any taxes that apply to your purchase, except taxes imposed on our income.
If you believe a charge is incorrect or you have a problem with a purchase, we encourage you to contact us first at:
We will make reasonable efforts to investigate and address legitimate concerns.
You agree not to knowingly:
Nothing in this section prevents you from exercising legitimate rights provided by your card issuer, payment provider, or applicable law.
A PURCHASE THROUGH THE CURRENT SERVICES IS A PURCHASE OF A PRODUCT OR SERVICE. IT IS NOT AN INVESTMENT IN AMERICAN MONEY.
Unless expressly stated in separate legally compliant offering documents, your purchase does not provide:
The fact that pre-sale funds may support the development of AMI does not make your purchase an investment in AMI.
You should not make a purchase with the expectation of receiving profits, appreciation, dividends, distributions, or ownership rights.
Nothing on the current Services constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation concerning any security.
References to:
are provided as part of AMI's educational content, business vision, plans, or descriptions of potential future services.
If American Money or an affiliated entity later offers a security or regulated financial product, any such offering will be made only through the applicable entity and through separate documents, disclosures, agreements, eligibility requirements, and legal processes.
No current pre-sale purchase creates a right to participate in any future offering.
Content available through the Services is provided for general educational, informational, promotional, and entertainment purposes.
Unless expressly provided under a separate written agreement by an appropriately registered or licensed entity or professional, the Services do not provide individualized:
You are responsible for evaluating information and making your own decisions.
You should consult qualified professionals regarding your individual circumstances when appropriate.
The Services may contain statements about future plans, goals, products, technologies, markets, business models, financial performance, launches, partnerships, adoption, growth, funding, and other future events.
These statements are forward-looking and involve assumptions, uncertainties, and risks.
Words and phrases such as:
may identify forward-looking statements.
Actual events and results may differ materially from plans, expectations, projections, or goals.
Forward-looking statements are not promises or guarantees.
You should not rely on a forward-looking statement as a contractual commitment unless it is expressly included as a binding obligation in a separate written agreement.
American Money materials may describe products, services, technologies, entities, features, or business lines that do not currently exist or are not currently available to the public.
These may include:
Descriptions of future plans are informational and do not create a contractual obligation to launch any particular product, feature, entity, technology, or service.
Availability, timing, structure, branding, pricing, functionality, eligibility, regulatory treatment, and other aspects may change.
Nothing in these Terms grants you a right to access or participate in a future product merely because you used the Services or purchased a current pre-sale product.
American Money may use artificial intelligence and automated tools in its business operations.
Certain current or planned products may also describe future AI-enabled features.
Unless expressly stated otherwise at the time a feature becomes available:
The planned AI Deal Mentor is currently intended as an educational tool connected to Masterclass materials.
Its final availability, capabilities, technology, interface, and functionality may change during development.
No AI system replaces the need for qualified legal, tax, accounting, investment, financial, or other professional advice when such advice is appropriate.
The current Services do not generally require user accounts.
If we introduce accounts in the future, additional account rules or terms may apply.
You may be responsible for:
We may update these Terms or provide supplemental terms before account functionality becomes available.
By using the Services or providing contact information, you consent to receive electronic communications relating to your interactions with us, subject to applicable law and our Privacy Policy.
These communications may include:
You may unsubscribe from marketing emails using the unsubscribe link included in those messages.
Unsubscribing from marketing messages does not prevent us from sending transactional, administrative, legal, or purchase-related communications.
Text messaging, if introduced, may be subject to additional disclosures and consent requirements.
Our collection and use of personal information is described in our Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
By using the Services, you acknowledge that you have had the opportunity to review the Privacy Policy.
The Services and their contents are owned by or licensed to American Money, MHL, or their respective licensors and are protected by intellectual-property laws.
Protected materials may include:
Except as expressly permitted, you may not:
the Services or their content without prior written permission.
Subject to these Terms, American Money grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services and content made available to you for lawful personal purposes.
This license does not transfer ownership of any intellectual property.
Unless expressly stated otherwise, purchased educational or media content is licensed for your personal use and may not be:
American Money, AMI, American Dealmaker, and other names, logos, slogans, product names, and brand elements displayed through the Services may be trademarks or other protected brand assets.
You may not use our trademarks in a manner that:
Nothing in these Terms prevents lawful commentary, criticism, news reporting, or other uses protected by law.
If you voluntarily provide ideas, suggestions, comments, or feedback about the Services or our products, you grant American Money a worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful business purpose without compensation or obligation to you.
This section does not transfer ownership of confidential business information that we have separately agreed in writing to protect.
If you submit information, content, comments, testimonials, questions, or other materials through the Services, you represent that:
You grant us a license to use, reproduce, store, process, and transmit your submission as reasonably necessary to:
We will handle personal information in accordance with our Privacy Policy.
We will not publicly use your name, image, testimonial, or endorsement for promotional purposes without permission where permission is required by law.
You may not use the Services to:
We may restrict or terminate access to the Services for violations of these Terms.
The Services may contain links to or integrations with third-party websites, platforms, payment processors, video providers, social media services, software, or other content.
Third-party services are not controlled by American Money.
Your use of a third-party service may be subject to that third party's own terms and privacy policy.
We do not guarantee:
A link, embed, or integration does not necessarily mean we endorse every statement, product, service, or practice of the third party.
We may:
We do not guarantee uninterrupted or error-free availability.
We may perform maintenance or experience outages.
Nothing in this section eliminates obligations we expressly undertake concerning a purchased product, subject to the pre-sale provisions and other terms of this agreement.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
AMERICAN MONEY DISCLAIMS WARRANTIES OF:
We do not warrant that:
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMERICAN MONEY, MHL, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.
This includes, where legally permitted, damages for:
To the maximum extent permitted by law, the total aggregate liability of American Money and MHL for claims arising from or relating to a particular purchase will not exceed the amount you paid for that purchase.
For claims unrelated to a purchase, the total aggregate liability will not exceed one hundred U.S. dollars ($100).
These limitations apply regardless of the legal theory asserted and even if we were advised that damages were possible.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless American Money, MHL, and their respective officers, directors, members, employees, contractors, agents, and affiliates from claims, damages, liabilities, losses, and reasonable costs arising from:
We reserve the right to control the defense of a matter subject to indemnification, and you agree to reasonably cooperate.
We will not be liable for delays or failures caused by circumstances beyond our reasonable control.
These may include:
This section does not eliminate rights that cannot legally be waived.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent federal law applies.
The parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing an arbitration or other legal proceeding, you and American Money agree to make a good-faith effort to resolve the dispute informally.
A party initiating a dispute must send written notice describing:
Notices to American Money should be sent to:
Email: [email protected]
Mailing Address: 30 N Gould St Ste R
Sheridan, WY 82801
The parties will have at least 30 days after receipt of a complete notice to attempt to resolve the dispute before initiating arbitration, except where immediate relief is reasonably necessary.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for disputes that qualify for small claims court and claims seeking temporary or preliminary injunctive relief to protect intellectual property, confidential information, security, or prevent unauthorized access, you and American Money agree that disputes arising out of or relating to these Terms, the Services, or a purchase will be resolved through binding individual arbitration rather than in court.
Arbitration will be conducted by the American Arbitration Association under its applicable consumer or commercial rules, as appropriate and subject to applicable law.
The arbitration may be conducted remotely, by telephone, through written submissions, or in person as permitted by the applicable rules.
The arbitrator may award the same individual remedies that a court could award, subject to these Terms and applicable law.
The arbitrator will have authority to determine issues concerning the interpretation and enforceability of this arbitration agreement, except that a court of competent jurisdiction will determine disputes concerning the enforceability of the class-action waiver below where required by law.
Nothing in this section prevents either party from reporting matters to a government agency or regulator.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND AMERICAN MONEY AGREE THAT CLAIMS WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS.
Neither party will seek to have a dispute heard as:
Unless both parties agree otherwise, an arbitrator may not consolidate the claims of more than one person.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND AMERICAN MONEY ALSO WAIVE THE RIGHT TO A TRIAL BY JURY FOR DISPUTES COVERED BY THESE TERMS.
If the class-action waiver is found unenforceable as to a particular claim or request for relief, that claim or request will proceed in a court of competent jurisdiction to the extent required by law, while arbitrable claims remain subject to arbitration.
Either party may bring an individual claim in small claims court if the claim qualifies and remains on an individual basis.
You may opt out of the arbitration agreement in Section 35 by sending written notice within 30 days after the date you first become bound by these Terms.
Your notice must include:
Send the notice to:
Email: [email protected]
Mailing Address: 30 N Gould St Ste R
Sheridan, WY 82801
Opting out of arbitration will not affect the other provisions of these Terms.
We may suspend or terminate your access to the Services if we reasonably believe you:
Termination of website access does not automatically eliminate rights or obligations relating to an existing purchase.
Provisions that by their nature should survive termination will survive, including provisions relating to:
We may update these Terms from time to time to reflect:
When we update these Terms, we will revise the “Last Updated” date.
Changes will apply prospectively unless applicable law permits otherwise.
If we make a material change affecting an existing purchase, we may provide additional notice where appropriate or required by law.
We will not use a later version of these Terms to retroactively eliminate a material right that had already vested under an existing purchase where doing so would be unlawful.
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary.
The remaining provisions will remain in effect.
Our failure to enforce a provision of these Terms does not waive our right to enforce it later.
A waiver is effective only if made in writing by an authorized representative.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer these Terms in connection with:
Any assignment remains subject to applicable law.
Except as expressly stated in these Terms, these Terms do not create rights for any third-party beneficiary.
These Terms, together with our Privacy Policy and any product-specific terms expressly presented to you at the time of purchase, constitute the agreement between you and American Money regarding the Services covered by these Terms.
If there is a direct conflict between these Terms and specific written terms presented for a particular product or transaction, the more specific terms will control for that product or transaction.
Marketing materials, presentations, roadmaps, interviews, social media posts, videos, and other general communications do not modify these Terms unless expressly incorporated into a separate written agreement.
